1Acceptance of Terms

By accessing and using Vyx ("Service"), you accept and agree to be bound by these Terms of Service and our Privacy Policy. These terms apply to all users of the Service, including without limitation users who are browsers, nodes, customers, and contributors of content.

Eligibility: You must be at least 18 years old to use this Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

Vyx operates as a sole proprietorship under the laws of Japan. All legal relationships with users are formed with the individual operator identified above.

3Description of Service

Vyx is a decentralized bandwidth sharing network that allows users to:

Share unused internet bandwidth with the network
Earn passive income based on bandwidth contribution
Access distributed proxy services through the network
Participate in a global network infrastructure

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue the Service at any time without notice.

Infrastructure Notice: A small portion of your bandwidth is used for network infrastructure operations and maintenance. This overhead traffic is necessary for service operation and is not included in earnings calculations.

4User Responsibilities

As a user of Vyx, you agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your account credentials
Use the Service only for lawful purposes and in accordance with these Terms
Not use the Service to transmit malicious code, viruses, or harmful content
Not attempt to gain unauthorized access to any part of the Service
Not interfere with or disrupt the Service or servers or networks connected to the Service
Comply with all applicable local, state, national, and international laws and regulations
Ensure compliance with your Internet Service Provider's terms of service
Accept sole responsibility for any consequences arising from sharing your bandwidth

5Prohibited Uses and Account Restrictions

In addition to other restrictions, you expressly agree NOT to:

Multiple Accounts - STRICTLY PROHIBITED

Create or operate more than ONE account per person. Users found operating multiple accounts will have ALL accounts permanently banned without payout of accumulated earnings.

IP Address Requirements - Residential Only

Access the Service using anything other than a valid residential IP address. The following are STRICTLY PROHIBITED:

VPN services, proxy servers, or anonymization services
Datacenter IPs, hosting provider IPs, or cloud service IPs
TOR exit nodes or any anonymity networks

Device Restrictions

Connect more than ONE device per public IP address to the Vyx network. Traffic will be distributed among devices sharing an IP address, potentially reducing earnings for all connected devices.

Identity Fraud

Provide false identity information, use another person's identity or payment details, refuse to complete identity verification when requested, or provide documents that are not your own. Violation will result in immediate account termination and forfeiture of all earnings.

Device Ownership

Install or use the Service on devices you do not own or do not have explicit written permission to use, or on networks you are not legally authorized to access.

Traffic Manipulation

Generate fake bandwidth usage, artificially inflate traffic metrics, use automated tools to simulate bandwidth sharing, or manipulate earnings calculations in any way.

ISP Agreement Violations

Share bandwidth in violation of your Internet Service Provider's terms of service. You are solely responsible for ensuring your participation complies with your ISP's policies. We are not responsible for any ISP-related consequences.

Consequences of Violations: Violation of these restrictions may result in immediate account suspension or termination, forfeiture of ALL accumulated earnings (past and present), permanent ban from the Service without notice or appeal, and potential legal action for fraudulent activity.

6Identity Verification

We reserve the right to require identity verification before processing any payout or at any time during your use of the Service. Verification may be required:

Before your first payout or any payout exceeding certain thresholds
If suspicious activity, multiple accounts, or fraudulent behavior is detected
To comply with anti-money laundering (AML) or know-your-customer (KYC) regulations
Periodically as part of routine security procedures
When payment patterns or account behavior appears anomalous

Verification Requirements

Identity verification is conducted through third-party verification services and may require:

Government-issued photo identification (passport, driver's license, national ID card)
Proof of address documentation (utility bill, bank statement, government correspondence)
Facial verification through selfie or liveness check
Additional documentation as required by applicable law or verification provider

Failure to Complete Verification: If you refuse to complete identity verification, provide false or inaccurate information, fail verification checks, or provide documents belonging to another person, we reserve the right to immediately suspend your account, withhold ALL pending payments (including accumulated earnings), and permanently terminate your access to the Service. No refunds or appeals will be granted for verification failures.

7Bandwidth Sharing

By participating in the Vyx network as a bandwidth provider:

You grant Vyx and its clients the right to use your shared bandwidth for legitimate business purposes
You confirm that you have the legal right to share your internet connection
You understand that sharing bandwidth may affect your internet speed and data usage
You are responsible for any costs associated with your internet service provider
You acknowledge that earnings are based on actual bandwidth usage and network demand
You understand that client usage through your connection may impact your ability to access certain websites or services

Client Use Cases and Potential Impacts

Network clients may use your shared bandwidth for various legitimate business purposes, including but not limited to:

Web scraping and data collection from public websites
Market research and competitive analysis
Advertisement verification and brand protection
SEO monitoring and search result verification
Content delivery and localization testing
Price comparison and availability checking

Potential Side Effects You May Experience:

CAPTCHA challenges when you browse certain websites
Temporary rate limiting or IP blocks from specific services
Increased data usage counting against your ISP data caps
Targeted advertisements based on client activity through your IP
Occasional inability to access streaming services simultaneously with client usage
Slower internet speeds during peak sharing periods

8Payments and Earnings

Earnings are calculated based on the amount of bandwidth shared and network demand
Current earning rate is $0.20 per GB, subject to change with 7 days notice in your account dashboard
Minimum payout threshold is $5.00 USD
Payouts are processed monthly via supported payment methods
We reserve the right to withhold or reverse payments if fraudulent activity, multiple accounts, or Terms violations are detected
You are responsible for any applicable taxes on your earnings in your jurisdiction
Payment claims must be submitted within 60 days of the payout request or the claim is forfeited
We may deduct processing fees for recurrent failed payment attempts through no fault of Vyx

Payment Processing

To process payments, you must provide accurate payment information. Supported payment methods may include PayPal, cryptocurrency, or other methods as announced. Payment information is processed securely through third-party payment processors. We may withhold amounts required by applicable tax law or payment processor rules.

Tax Responsibility: You acknowledge that you are solely responsible for reporting and paying all applicable taxes in your jurisdiction related to earnings from Vyx. We may be required to report earnings to tax authorities. Consult a tax professional regarding your obligations.

9Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy, including:

Sharing your IP address and geographic location with network clients
Collection of bandwidth usage statistics and device information
Processing of identity verification documents when required
International transfer of data as necessary for service operation

10Intellectual Property

The Service and its original content, features, and functionality are owned by Vyx and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission. You are granted a limited, revocable, non-exclusive license to use the Service solely for your personal, non-commercial use in accordance with these Terms.

11Disclaimer of Warranties

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY TO YOU.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Any warranties regarding uninterrupted, error-free, secure, or virus-free operation
Any warranties regarding specific earning amounts, network uptime, or bandwidth demand
Any warranties that the Service will meet your requirements or expectations
Any warranties regarding the accuracy, reliability, or completeness of content or information

We do not warrant that the Service or servers are free of viruses or harmful components. You assume all responsibility for selecting the Service to achieve your intended results and for the installation, use, and results obtained from the Service. Your use of the Service is at your sole risk.

12Limitation of Liability

THIS SECTION LIMITS OUR LIABILITY. PLEASE READ IT CAREFULLY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL VYX, ITS OPERATOR, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

Loss of profits, revenue, data, use, goodwill, or other intangible losses
Damages resulting from your access to, use of, or inability to access or use the Service
Damages resulting from unauthorized access to or alteration of your transmissions or data
Damages resulting from statements or conduct of any third party on the Service
Damages resulting from ISP penalties, throttling, or service termination
Damages resulting from inability to access websites or services due to IP blocking
Damages resulting from fraudulent activity of other users or third parties
Any other damages relating to the Service or these Terms

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE ACTUALLY BEEN PAID BY VYX IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH YOUR CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THESE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

13Indemnification

You agree to indemnify, defend, and hold harmless Vyx, its operator, and any affiliated parties, employees, contractors, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and legal costs) arising from or relating to:

Your use or misuse of the Service
Your violation of these Terms of Service or any applicable law or regulation
Your violation of any rights of another party, including other users, your ISP, or third parties
Your sharing of bandwidth in violation of your ISP's terms of service or applicable law
Any content, data, or activity transmitted through your shared bandwidth by network clients
Any fraudulent, false, or misleading information you provide to Vyx
Your creation or operation of multiple accounts
Your use of VPN, proxy, or non-residential IP addresses to access the Service
Any claims by your ISP, government authorities, or third parties related to your use of the Service
Any disputes with other users
Your violation of any intellectual property or privacy rights

This indemnification obligation will survive termination of your account and these Terms. You agree to cooperate fully in the defense of any claim. We reserve the right to assume exclusive control over the defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

14Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Subject to the Dispute Resolution provisions below, any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Osaka, Japan. You hereby irrevocably consent to the personal jurisdiction and venue of such courts.

International Users: If you access the Service from outside Japan, you acknowledge and agree that your use of the Service is subject to Japanese law and jurisdiction, regardless of your location. You are responsible for compliance with local laws in your jurisdiction.

15Dispute Resolution and Arbitration

IMPORTANT: THIS SECTION CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE READ IT CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution

Before filing any formal dispute, complaint, or legal action, you agree to first contact us at legal@vyx.network and attempt to resolve the dispute informally for at least 30 days. Provide a detailed description of the dispute and your desired resolution. We will attempt to resolve the dispute in good faith.

Binding Arbitration

If informal resolution fails, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except as provided below.

Arbitration Rules: Arbitration shall be conducted under the Commercial Arbitration Rules of the Japan Commercial Arbitration Association (JCAA)
Location: Arbitration shall be conducted in Osaka, Japan
Language: Arbitration shall be conducted in English unless both parties agree otherwise
Single Arbitrator: The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties, or appointed by JCAA if no agreement is reached within 30 days
Costs: Each party shall bear their own costs and attorneys' fees unless the arbitrator determines otherwise
Final and Binding: The arbitrator's decision shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND VYX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Unless both you and Vyx expressly agree in writing, no arbitrator or judge may consolidate more than one person's claims or preside over any form of a class, consolidated, or representative proceeding. The arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s).

Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, trade secrets, or confidential information.

Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, YOU AND VYX WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

16Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation:

Violation of these Terms of Service
Fraudulent or illegal activity
Creation or operation of multiple accounts
Use of VPN, proxy, or non-residential IP addresses
Failure to complete or pass identity verification
Abuse of the Service or other users
Non-payment of fees (if applicable)
Prolonged inactivity
At our sole discretion for any other reason

You may terminate your account at any time by contacting support@vyx.network and following our account closure procedures.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account data after termination. Pending payments may be withheld if termination is due to Terms violations, fraud, or suspicious activity. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

Payout Upon Termination: If your account is terminated for cause (including violations of these Terms), we reserve the right to withhold any pending payments. If you voluntarily terminate your account in good standing, accumulated earnings above the minimum threshold will be paid according to our normal payout schedule.

17Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. For material changes, we will provide at least 7 days notice by:

Posting the new Terms on this page and updating the "Last Updated" date
Sending notice to the email address associated with your account
Displaying a prominent notice in your account dashboard

What constitutes a "material change" will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service and may close your account.

It is your responsibility to review these Terms periodically for changes. We will indicate the date of the most recent changes at the top of this page.

18Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Vyx regarding your use of the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral, between the parties regarding the subject matter of these Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the maximum extent possible. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this section shall be void. We may freely assign or transfer these Terms and our rights and obligations hereunder to any third party without restriction or notice to you, including in connection with a merger, acquisition, sale of assets, or by operation of law.

Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Vyx.
